Not investment advice. Mantis produces AI-generated summaries of publicly available information. Its briefs are for general information only and are not investment, financial, legal, tax, or other professional advice, and are not a recommendation, offer, or solicitation to buy or sell any security or make any investment decision. You are solely responsible for your own decisions. See sections 3 and 11.

1. Who we are and what these terms cover

Mantis (“Mantis,” “we,” “us,” or “our”) provides an AI agent for investor intelligence available at www.heymantis.ai(the “Service”). These Terms of Use (the “Terms”) form a binding agreement between you and Mantis. If you use the Service on behalf of an organization, you confirm you are authorized to bind that organization to these Terms.

Our Privacy Policy and Cookie Policy are incorporated into these Terms by reference.

2. What Mantis does

Mantis is an always-on agent that monitors public sources on your behalf and delivers personalized intelligence briefs. You create watchlists of companies, founders and other people, markets/topics, and specific URLs you want to track. Mantis then collects publicly available information about those subjects — for example public posts on X, web and news articles, market news, and the content of URLs you provide — filters and summarizes it using third-party large-language-model services, and sends you briefs by email and/or Slack on the schedule you choose.

Mantis reports on information that is already public. It does not bypass paywalls, access private accounts, or scrape sources that prohibit automated access, and it does not provide access to material non-public information.

3. Informational purpose only — no advice or reliance

The Service and every brief it produces are provided for general informational purposes only. Nothing in a brief is investment, financial, legal, accounting, or tax advice, and nothing constitutes a recommendation or endorsement of any security, company, person, strategy, or transaction.

Briefs are generated by AI from third-party public sources that we do not control. They may be incomplete, out of date, mistaken, or contain errors or omissions (including “hallucinations” inherent to AI systems). You must independently verify any information before relying on it and should seek advice from a qualified professional before making any decision. You use the Service and act on its output at your own risk.

4. Eligibility

You must be at least 16 years old (or the higher age required in your country to consent to processing of your personal data) and legally able to enter into a contract to use the Service. The Service is intended for professional and business use and is not directed at children.

5. Accounts and security

You sign in using a magic link sent to your email address or through Google sign-in. You are responsible for maintaining the security of the email account and any credentials used to access Mantis, and for all activity that occurs under your account. Notify us promptly at contact@heymantis.ai if you suspect unauthorized access.

6. Subscriptions, trial, billing, and cancellation

• Free trial. New workspaces start with a 14-day free trial. No payment card is required to begin the trial.
• Plan and price. The individual plan is billed at US$29.99 per month or US$299.99 per year, as selected at checkout, plus any applicable taxes. Prices are stated at the point of purchase and may change on a going-forward basis with notice.
• Payments. Paid subscriptions are processed by our payment provider, Stripe. By subscribing you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. We do not store full card numbers — see the Privacy Policy.
• Renewal. Subscriptions renew automatically for successive periods at the then-current price unless cancelled before the renewal date.
• Cancellation. You may cancel at any time from your billing settings (via the Stripe billing portal). Cancellation takes effect at the end of the current billing period; you keep access until then. Except where required by law, payments already made are non-refundable.
• Non-payment and paused state. If a trial ends without payment, or a payment fails, your workspace is moved to a paused state: brief delivery and on-demand briefs stop, while your data and dashboard remain accessible. You can reactivate by subscribing. We may delete data from long-paused workspaces as described in the Privacy Policy.

7. Acceptable use

You agree not to, and not to allow anyone else to:

• use the Service in violation of any law, regulation, or third-party right, including data-protection, securities, and intellectual- property laws;
• use the Service to harass, stalk, surveil, or profile a private individual in a way that is unlawful, or for any purpose that is harmful, deceptive, or abusive;
• attempt to access accounts, data, or workspaces that are not yours, or probe, scan, or test the vulnerability of the Service or circumvent its security or tenant isolation;
• reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service except to the extent this restriction is prohibited by law;
• resell, sublicense, or provide the Service to third parties, or use it to build a competing product, without our written permission;
• use automated means to place unreasonable load on the Service, or exceed the rate and volume limits we apply.

8. Your watchlists and responsibilities

You decide which companies, people, markets, and URLs to monitor and how to use the intelligence Mantis returns. You are responsible for ensuring that your monitoring choices and your use of the resulting briefs are lawful in your jurisdiction and comply with any obligations that apply to you (for example, market-abuse, insider-dealing, and data-protection rules). Where you provide URLs for Mantis to fetch, you confirm you are entitled to access that content by automated means.

9. Third-party sources and content

Briefs draw on information from third-party sources — including X (via xAI/Grok), web and news search, market data, and pages at URLs you supply — that we neither own nor control. We are not responsible for the accuracy, legality, availability, or timeliness of third-party content, and the inclusion of any source or subject in a brief is not an endorsement. Third-party content remains the property of its respective owners.

10. Intellectual property

Our IP. The Service, including its software, models-orchestration, design, prompts, and brand, is owned by Mantis and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription.

Your content.You retain all rights in the content you provide — your account details, workspaces, watchlists, and settings (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, and use Your Content solely to operate and improve the Service and deliver briefs to you. We do not sell Your Content.

Briefs. As between you and us, you may use the briefs we deliver to you for your internal business purposes. Briefs may incorporate third-party content that remains subject to the rights of its owners.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that any brief will be accurate or complete, or that it will surface every relevant event. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Mantis and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment losses, arising out of or relating to your use of (or inability to use) the Service or your reliance on any brief, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud).

13. Indemnification

You agree to indemnify and hold Mantis harmless from claims, damages, and reasonable expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, except to the extent caused by us.

14. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections 3, 9–13, and 16) will survive. Deletion and retention of your data on termination are described in the Privacy Policy.

15. Changes to the Service and these Terms

We may modify the Service and update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or an in-product notice) and will update the “Last updated” date above. Changes are effective when posted unless stated otherwise; continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of [jurisdiction to be confirmed by Mantis — likely Austria / the European Union], without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction, except where mandatory law grants you the right to bring proceedings in your country of residence. This placeholder will be finalized before launch.
